Terms of Service

1. Acceptance of Terms

By accessing or using the Apex Automations platform (“Service”) provided by Apex Automations LLC (“Company,” “we,” “us,” or “our”), available at autoapx.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Apex Automations is a software-as-a-service (SaaS) platform that provides AI-powered workflow automation tools designed for professionals in real estate, insurance, and mortgage industries. The Service includes, but is not limited to, automated lead management, document analysis, marketing automation, CRM integrations, and AI-driven reporting tools. The Service is offered on a per-seat subscription basis, with features and availability subject to your selected plan.

3. Account Registration

To use the Service, you must create an account through our authentication provider, Clerk. You may register individually or as part of an organization. When registering on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payments

The Service is offered through paid subscription plans with per-seat pricing. All payments are processed securely through Stripe. By subscribing, you authorize us to charge your designated payment method on a recurring basis according to your selected billing cycle.

New subscribers may be eligible for a trial period, during which access to the Service is provided at no charge. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and your payment method will be charged.

Subscription fees are non-refundable except as required by applicable law. We reserve the right to change pricing with at least 30 days’ notice. Price changes will take effect at the start of your next billing cycle following the notice period. Adding seats to your organization will result in prorated charges for the remainder of the current billing period.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any unlawful, fraudulent, or malicious purpose.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service.
• Scrape, crawl, or use automated means to extract data from the Service beyond what is provided through authorized APIs.
• Interfere with, disrupt, or create an undue burden on the Service or its infrastructure.
• Share, resell, or sublicense your access to the Service without our written consent.
• Circumvent or attempt to circumvent any access controls, rate limits, or security measures.
• Upload or transmit malicious code, viruses, or any other harmful technology.

6. Intellectual Property

The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is owned by Apex Automations LLC and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain full ownership of all data, content, and materials you upload to or generate through the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing and improving the Service.

7. AI-Generated Content

The Service utilizes artificial intelligence to generate content, analyses, reports, and recommendations. All AI-generated outputs are provided as informational suggestions only and should not be construed as professional, legal, financial, or real estate advice.

You acknowledge that AI-generated content may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing, verifying, and determining the suitability of any AI-generated output before relying on it or distributing it to third parties. Apex Automations makes no warranties regarding the accuracy, completeness, or fitness for any particular purpose of AI-generated content.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy. We implement commercially reasonable security measures to protect your data, but no method of electronic transmission or storage is completely secure.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APEX AUTOMATIONS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

10. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us at admin@autoapx.com. We may suspend or terminate your access to the Service at our discretion if you violate these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service will cease immediately. You may request an export of your data within 30 days of termination by contacting us. After the 30-day period, we reserve the right to delete your data in accordance with our data retention policies.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the effective date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, New York.
